Law No. (6) of 2007

Establishing the International Humanitarian City

We, Mohammed Bin Rashid Al Maktoum, Ruler of Dubai

hereby issue the following Law:


Article (1)

This Law shall be cited as “ Law No. (6) of 2007 Establishing the International Humanitarian City”.


Article (2)

The following words and terms, wherever mentioned, shall have the meaning indicated opposite each of them, unless the context otherwise implies:

Ruler: His Highness the Ruler of Dubai.
Emirate: The Emirate of Dubai.
Government: The Government of Dubai.
City: The International Humanitarian City
Authority: The City's Authority.
Board: The Board of Directors of the Authority.
Chairman: The Chairman of the Board.
Executive Manager: The Executive Manager of the Authority.
Establishments:
The City's individual establishments, companies, societies, entities, charity or humanitarian or environmental or public welfare organisations and their branches, or any other legal entity established in the city and licensed to conduct any of the licensed activities whether through material or moral assistance, technical or administrative experience and as well as the investment of the funds appropriated designated for any of the licensed activities.
 
Article (3)

1.
By virtue of the provisions of this Law, a City shall be established and be called “The International Humanitarian City” which shall have its head office in Dubai. All establishments shall be created in the area of land granted by the Government, the location of which is specified in the map attached to this Law, and the City may conduct its activities outside the Emirate.
2.
A free zone and an administrative zone shall be established within the borders of the City. The locations, areas and borders of both are to be determined by the Authority. The free zone and the administrative zone shall each follow the Authority in their management and legislative system.


Article (4)

The City shall have an advisory council, the members of which shall be appointed by virtue of a decree issued by the Ruler specifying the duties of the council and number of members.



Article (5)

1.
There shall be established by virtue of this Law a legal authority known as “The International Humanitarian City Authority” which shall be endowed with financial and administrative autonomy and with full legal capacity to enter into contracts with third parties, sue and be sued and delegate to any person the conduct of its judicial proceedings.
2.
The Authority shall lay down its internal bylaws, strategic and operational plans, its procedures and structure and may establish any affiliate entities or bodies necessary for the performance of its duties and functions and for the achievement of the objectives of the City.


Article (6)

The City shall aim to support, encourage and develop charitable, humanitarian, peaceful and environmental works and services of noble motives through inviting, attracting and licensing specialised and competent establishments engaged in this field and in a manner that shall not contravene the laws in force in the Emirate.

For the purposes of this Article, co-ordination shall be made between the City and the Department of Islamic Affairs and Charity Work in relation to licensing of charitable societies.


Article (7)

A.
Management of the Authority shall be undertaken by a board of directors consisting of a Chairman, Deputy Chairman and seven members to be appointed by virtue of a decree issued by the Ruler.
B.
The Board shall conduct its business in accordance with a special bylaw to be issued by the Chairman.


Article (8)

A.
The Chairman shall assume the following duties and powers:
1. Co-ordination with the entities, ministries, and Government departments both within and outside the Emirate for the purpose of achieving the objectives of the City.
2. Issuing bylaws, regulations and decisions necessary for the implementation of the provisions of this Law.
3. Issuing the decisions establishing the departments, boards, entities and any other bodies necessary for the achievement of the objectives of the City.
4. Appointment, dismissal, removal, and replacement of members of the board of directors of any of the City’s entities and establishments or any other boards or bodies established by virtue of this Law, in addition to specifying their duties, memberships’ terms and remuneration.
5. The appointment of the Executive Manager and the administrative arm of the Authority.
B.
The Chairman may delegate some of his duties and powers under this Law to any Board member.


Article (9)

The Board shall assume the following duties and powers:
1.
Drafting public policies and strategic plans of the City, and implementing them following the approval of them by the Chairman.
2.
Provision of infrastructure, buildings, administrative and commercial and any other services, and securing a suitable and organised administrative, technical and legal environment amongst others, in order to assist the licensed establishments in conducting their activities.
3.
Joining international authorities and organisations which are related to the objectives of the City and which contribute to, participate in or provide support for any activities, establishments, organisations or entities that have similar goals to those of the City.
4.
Supervision of or participation in the organisation of conferences and functions which specialise in the fields and sectors targeted by the City.
5.
Contribution to, and participation and investment in establishments, companies and entities, and setting up of establishments and companies which are wholly owned by the City or in partnership with third parties either within or outside the Emirate.
6.
Possession and ownership of assets, land and other movable and immovable property and the investment, sale or rent of the same and development of projects which are necessary for the achievement of the objectives of the City.
7.
Obtaining loans, financing and financial facilities required by the City to conduct its operations, through banks, local and international financial institutions, including mortgaging of assets and immovable property and providing the necessary collateral for this.


Article (10)

The Authority shall have an Executive Manager and an administrative arm, both of which are to be appointed by the Chairman.


Article (11)

The Executive Manager shall assume the following duties and powers:
1.
Supervision of works, activities and services which are provided by the Establishments.
2.
Representing the Authority and signing for and on its behalf of all contracts, acts and transactions, particularly in relation to finance.
3.
Preparation of the bylaws, regulations and decisions necessary for the organisation of the Authority, the activities and services it provides and fees it charges and submitting these to the Chairman for approval.
4.
The licensing of the Establishments and activities they conduct in accordance with the bylaws, regulations and decisions issued for this purpose.
5.
The preparation of the budget for each financial year including determination of the expenditure policies and submitting these to the Chairman for approval.
6.
Establishment and management of bank accounts both within and outside the Emirate in collaboration with the Chairman.
7.
Preparation of the organisational, administrative and financial structure of the Authority and issuing decisions for maintaining the records necessary for its works.
8.
Proposing the activities, the projects and the strategies necessary for the implementation of the Authority’s work plans and taking the necessary measures for the implementation of such works and projects.


Article (12)

The Establishments shall abide by the following rules and conditions:
1.
Not to confine their field of work to a particular group, race, religion or country.
2.
To allow the Executive Manager to control and audit their activities, funds and expenditure.
3.
To provide the Executive Manager with all the names and data of its employees and workers.
4.
To submit to the Board the bylaws and regulations relating to their activities.
5.
Not to assign their licences to any party whichever it may be without the approval of the Board.
6.
To provide the Board with regular periodical reports about their activities and works.
7.
To provide the Board with a copy of its budgets and balance sheets approved by a chartered accountant.


Article (13)

The Chairman, any Board member, the Executive Manager or any employee of the Authority shall not be liable to third parties in relation to the management of the Authority except in case of fraud or abuse of power.


Article (14)


The Establishments, their employees and workers shall not be subjected to taxes, including income tax, in respect of their activities within the City and shall be exempted from any restrictions relating to the transfer of assets, profits or wages in any currency to any party outside the City or outside the Emirate.


Article (15)


The Authority and Establishments of the City shall be exempted from custom duties on all imports and purchase of apparatus, materials, goods, products and other items which are necessary for the City or its Establishments to perform their activities or achieve their objectives.


Article (16)


The provision or circulation of, or dealing with or in any of the services, products and goods in respect of which the Board issues a prohibition shall be prohibited accordingly, and this shall include services, products and goods which are contrary to public order and any service or activity which constitutes unfair competition.


Article (17)


In organising its accounts and records, the Authority shall apply the principles and rules of commercial accountancy in accordance with internationally recognised standards. The financial year of the City shall commence on 1 January and end on 31 December of each year, provided that the first financial year shall commence from the date this Law is issued and end on the 31 December of the same year.


Article (18)


The financial resources of the Authority shall comprise the following:
1.
The fees for the registration, licensing, renewal and alteration of licences issued by the Authority and any fees or money it receives in return for the services and activities it provides.
2.
The return on the different investments of the Authority or the investments in which the Authority participates.
3.
The proceeds realised from the sale, rental and investment of the City’s property.
4.
Gifts and donations from the Government, bodies, organisations, persons and individuals.


Article (19)


Any provision in any other legislation shall be repealed to the extent of any inconsistency with this Law.


Article (20)


This Law shall come into effect from the date it is issued and shall be published in the Official Gazette.
